3.2. The Customer is only given access to use the Services as an online service and is therefore not entitled to make its own installation of the Services (whether itself or through a third party) or otherwise to handle copies of the Services.
3.3. The Customer’s right to use the Services is limited to what is expressly stated in the Agreement.
3.4. The Customer is not entitled to:
i. use the Services for purposes other than those contemplated by the Agreement;
ii. make its own installation of the software on which the Services are based;
iii. make the Services available for use by third parties, e.g. through time-sharing, as a service, via a service bureau arrangement or otherwise;
iv. decompile or otherwise attempt to determine how the Services work;
v. “hack” the Services, introduce viruses, Trojans or other harmful or unwanted code (“malware”) into the Services, or, through an excessive number of requests to the servers on which the Services are provided, prevent or restrict third parties’ use of the Services;
vi. modify or tamper with the Products;
vii. sell, rent out or otherwise transfer or improperly dispose of the Products.
4. SUPPORT AND MAINTENANCE
4.1. Digmi continuously develops and updates the Services and the Products and provides support as set out in the Service and Product Description.
5. INTELLECTUAL PROPERTY RIGHTS ETC.
5.1. All Intellectual Property Rights and all other rights in or relating to the Services and the Products belong to Digmi or, where applicable, Digmi’s licensors or suppliers.
5.2. Nothing in the Agreement shall constitute an assignment or grant of Intellectual Property Rights or other rights in the Services or the Products.
5.3. Data processed by the Customer and generated by the Services as a result of the Customer’s use shall be owned by the Customer. Digmi is entitled to use the Customer’s data to the extent necessary to perform its obligations under the Agreement. 5.6. The Products remain the property of Digmi to the extent that such retention of title is valid.
6. INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS
6.1. If the Customer receives a claim from a third party alleging that the Services or the Products infringe that third party’s Intellectual Property Rights, Digmi undertakes to indemnify and hold the Customer harmless against such claims, provided that (i) the Customer promptly notifies Digmi of the claim, (ii) the Customer gives Digmi full control and decision-making authority over the defence or settlement of the claim, (iii) the Customer has not made any admissions or settlements or otherwise prejudiced Digmi’s ability to defend or settle the claim, and (iv) the Customer reasonably cooperates in Digmi’s defence or negotiation of the claim. Digmi’s obligation to indemnify the Customer under this section is also conditional on the Customer having installed all updates made available by Digmi and on the Customer having used the Services only for their intended purpose, to the extent that the damage would not otherwise have occurred.
6.2. If Digmi has received a claim under clause 6.1, or if Digmi considers that there is a risk of such claims, Digmi is entitled to take any of the following measures:
i. ensure that the Customer obtains the right to continue using the Services;
ii. make changes so that the Services or the Products are no longer considered to be infringing;
iii. if neither (i) nor (ii) can be achieved on terms that Digmi considers reasonable, terminate the Agreement with immediate effect and block the Customer’s access to the Services or the Products.
6.3. The Customer is not entitled to compensation if Digmi takes measures under (i) – (iii) above, except that, in the event of termination under (iii) above, the Customer is entitled to a partial refund of the fee in an amount corresponding to the part of the current contract period during which the Services or the Products could not be used, but not exceeding fifty (50) per cent of the fee paid.
6.4. If Digmi receives a claim from a third party alleging that the Customer’s data infringes that third party’s Intellectual Property Rights, the Customer undertakes to indemnify and hold Digmi harmless against such claim, provided that (i) Digmi promptly notifies the Customer of the claim, (ii) the Customer has full control and decision-making authority over the defence or settlement of the claim, (iii) Digmi has not made any admissions or settlements or otherwise prejudiced the Customer’s ability to defend or settle the claim, and (iv) Digmi reasonably cooperates in the Customer’s defence or negotiation of the claim.
7. CUSTOMER RESPONSIBILITIES
7.1. The Customer shall provide information for Digmi’s work when the Services are set up, review documents and make decisions, and otherwise, on an ongoing basis, provide the information needed for Digmi to be able to perform its obligations under the Agreement.
7.2. The Customer is responsible for communication between the Products and the Access Point.
7.3. The Customer is responsible for ensuring that the Products are located at the address stated by the Customer. The Customer is solely responsible for ensuring that the Products cannot be used or exploited by unauthorised persons.
7.4. The Customer shall ensure (i) that the Customer’s data is free from viruses, Trojans, worms or other malicious software or code, (ii) that the Customer’s data is in the agreed format, and (iii) that the Customer’s data cannot otherwise harm or adversely affect the Services or the Products.
7.5. The Customer is responsible for ensuring that login details, security methods and other information provided by Digmi for access to the Services are kept confidential. The Customer shall notify Digmi immediately if any unauthorised person gains access to such information.
7.6. In addition to what is otherwise stated in the Agreement, the following applies in particular, where relevant, to the provision of the Services:
(i) The user details and passwords used to access the Services shall be treated as items of value and, if recorded, shall be stored securely so that unauthorised persons cannot gain access to the Services.
(ii) Digmi is responsible for the Services only up to the Access Point.
(iii) Digmi is entitled to treat all use of the Services with the Customer’s user details as authorised use by the Customer, regardless of whether such use results in a cost to the Customer, unless and until the Customer notifies Digmi’s support or customer service in writing that it suspects unauthorised access to the Services or to the Customer’s password. The Customer is responsible for informing Digmi’s support or customer service without delay if it suspects that this is the case, and for ensuring that the Customer’s user details are blocked or changed.
8. INTERRUPTIONS AND DEFECTS
8.1. Digmi shall endeavour to make the Services available for the Customer’s use 24 hours a day, every day of the year. However, Digmi is entitled at any time and without prior notice to suspend the Customer’s access to the Services for maintenance, to protect the Services from unauthorised attacks or similar threats, or to take other measures required for technical, operational or security reasons. Digmi shall, as far as possible, inform the Customer of when such interruptions may occur.
8.2. A defect exists when the Services do not conform to the Service and Product Description.
8.3. Digmi continuously updates the Services and corrects defects in them.
8.4. The Customer shall report defects in the Services and the Products in writing as soon as possible, and no later than fifteen (15) days after the defect was discovered or ought to have been discovered. The Customer shall provide a detailed description of the defect.
8.5. Digmi’s liability for defects is limited to taking reasonable measures to remedy the defect within a reasonable time so that the Services and the Products conform to the Service and Product Description.
8.6. For the Products, Digmi is liable for hardware defects for one (1) year from the date of delivery. Equipment that is more than one (1) year old or that has been damaged through improper handling or negligence by the Customer is not covered by Digmi’s liability.
8.7. The Customer is not entitled to a fee reduction or any other compensation or damages for lack of access to the Services, defects in the Services or the Products, or interruptions to the Services.
8.8. Digmi’s liability does not cover defects arising from operating conditions other than those contemplated in the Agreement, incorrect use of the Services or the Products, or other circumstances beyond Digmi’s control. With regard to the Products, defects caused by inadequate maintenance, incorrect installation by the Customer, modifications made without Digmi’s written consent, repairs incorrectly carried out by the Customer, or normal wear and tear or deterioration are not covered.
8.9. If the Customer reports a defect and it is established that there is no defect for which Digmi is liable, Digmi is entitled to compensation for the work and costs caused by the complaint.
9. RESTRICTION OF SERVICES AND CHANGES
9.1. If the provision of the Services causes damage, or a risk of damage, to Digmi or to anyone else, Digmi is entitled to suspend or restrict access to the Services. Digmi may not take measures that are more extensive than is reasonable in the circumstances. The Customer shall be notified as soon as possible of any restriction of access to the Services.
9.2. Digmi is entitled to restrict or suspend the Customer’s access to the Services if the Customer breaches the terms of the Agreement.
9.3. Digmi continuously develops the Services and is entitled to change them. Digmi may also discontinue the Services if they are replaced by another service with equivalent functionality. Digmi may also discontinue the Services if Digmi’s subcontractors cease to provide necessary services.
10. COMPENSATION
10.1. For the Customer’s use of the Services and the Products, the Customer shall pay fees in accordance with the Agreement.
10.2. If the Customer is late in making payment, Digmi is entitled to terminate the Agreement with immediate effect by written notice to the Customer.
11. PROCESSING OF PERSONAL DATA
11.1. In the course of providing the Services, Digmi will process personal data relating to the Customer (“Customer Data”) and its Users (“User Data”). Customer Data includes names, telephone numbers, addresses, email addresses, contact persons and company registration numbers. User Data includes names, personal identity numbers, telephone numbers, addresses and email addresses. In addition to Customer Data and User Data, Digmi will collect and process information about the use of the Services. The purpose of Digmi’s processing is to enable the Parties to perform their obligations and to cooperate under the Agreement, including administration of the contractual relationship, provision of information and other communication about the Services. Digmi will process personal data on the basis of a balancing of interests in order to pursue Digmi’s legitimate interest in administering the contractual relationship with the Customer.
11.2. The Customer undertakes to (i) inform all Users of Digmi’s processing of personal data as described in these terms, (ii) provide all Users with the information required under Articles 13-14 of the EU General Data Protection Regulation (EU/2016/679) (“GDPR”) on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC, and (iii) inform all Users of their rights in connection with Digmi’s processing of the Users’ personal data as set out in Articles 14.2 and 15-20 of the GDPR.
11.3. Digmi will only retain the personal data processed during the contractual relationship. However, Digmi may retain personal data for such additional period as is necessary if Digmi is required by law or contract to retain the data or if Digmi needs to establish, defend or exercise legal claims. When the personal data is no longer necessary for these purposes, Digmi will anonymise or delete the data securely. A data subject has the right to request rectification of inaccurate or incomplete personal data concerning him or her. The data subject also has the right to request information on whether Digmi processes any personal data about him or her and, if so, to obtain access to the personal data concerning him or her. In the event of complaints about Digmi’s processing of personal data, the data subject has the right to lodge a complaint with the supervisory authority. In addition to the above rights, the data subject has, where applicable data protection legislation so provides, the right to request restriction of processing, the right to erasure, the right to object to certain processing of personal data and the right to data portability. If the data subject wishes to exercise any of their rights above or has questions about Digmi’s processing of personal data under this provision, the data subject may contact Digmi by sending an email to the email address stated in the Agreement.
11.4. For more information on how Digmi handles personal data, please refer to Digmi’s privacy policy.
12. STATISTICS AND ANONYMISED DATA
12.1. Digmi is entitled to anonymise all data in the Services. Anonymisation shall be carried out in such a way that it is not possible to trace the data back to personal data.
12.2. Digmi owns all rights to anonymised data and is entitled to use and store such data for an unlimited period.
12.3. Digmi is also entitled to use all other data in the Services for statistical purposes.
13. CONFIDENTIALITY
13.1. Each Party undertakes not to disclose, without the other Party’s consent, any information about the other Party’s business that may be regarded as a trade or professional secret, during the term of the Agreement and for three years thereafter. Information that a Party has designated as confidential shall always be regarded as a trade or professional secret. The duty of confidentiality does not apply to information that a Party can show has come to its knowledge other than through the Agreement or that is generally known. Nor does the duty of confidentiality apply where a Party is legally obliged to disclose information.
13.2. Each Party shall, through confidentiality agreements with employees or other appropriate measures, ensure that confidentiality as set out above is observed. Each Party is responsible for ensuring that subcontractors and their employees involved in the assignment sign a confidentiality agreement with equivalent content for the benefit of the other Party.
13.3. Digmi’s confidentiality undertaking does not extend to other companies within Digmi’s group.
14. EARLY TERMINATION
14.1. Either Party is entitled to terminate the Agreement with immediate effect if: (i) the other Party commits a material breach of the Agreement and the breach has not been fully remedied within thirty (30) days of the defaulting Party receiving written notice from the other Party requesting rectification; (ii) the other Party suspends its payments, resolves on voluntary or compulsory liquidation, applies for company reorganisation or bankruptcy (or if someone else files for the Party’s bankruptcy), or if the Party may otherwise be deemed insolvent; or (iii) repeated late payments occur as referred to in clause 10.2.
14.2. On termination of the Agreement, fees paid will not be refunded unless otherwise expressly stated in the Agreement.
14.3. On expiry or termination of the Agreement, the Customer shall, unless otherwise stated in the Agreement, immediately cease all use of the Services.
15. LIMITATION OF LIABILITY
15.1. Each Party’s liability is limited to direct damage up to a total amount of twenty (20) per cent of the fee paid for the Services during the twelve (12) months preceding the time of the damage, but not exceeding one (1) base amount (basbelopp) under the Swedish Social Insurance Code (2010:110) applicable at the time of the damage. Neither Party is liable for the other Party’s indirect losses, such as loss of production or loss of profit. No limitation of liability shall apply if the damage was caused by gross negligence or wilful misconduct. Furthermore, no limitation of liability shall apply to breaches of the licence provisions in clause 5, to a Party’s obligation to compensate the other Party for infringement of third-party rights under clause 6, or to breaches of the confidentiality obligation in clause 13.
15.2. Digmi is not liable for loss of data.
15.3. Digmi is not liable for defects or damage caused by operating systems, software or other services, e.g. applications, provided by third parties.
15.4. In order to retain the right to compensation, the Customer must submit a written claim for damages to Digmi no later than six (6) months from the time of the event.
16. FORCE MAJEURE
16.1. A Party is released from liability for failure to perform an obligation under the Agreement if the failure is due to a circumstance beyond that Party’s control which the Party could not reasonably have foreseen or avoided, such as war, action by a public authority, new or amended legislation, labour dispute, trade or currency restrictions, blockade, fire, flood, epidemic or similar circumstance, as well as defects in or delays of deliveries from subcontractors.
16.2. A Party invoking force majeure under this clause 16 shall notify the other Party without delay of the occurrence and cessation of the event.
16.3. Notwithstanding the release from liability in this clause 16, a Party is entitled to terminate the Agreement with immediate effect by written notice to the other Party if the performance of a material obligation under the Agreement is delayed by more than three (3) months.
17. GENERAL PROVISIONS
17.1. The Customer is not entitled to assign or pledge its rights and/or obligations under the Agreement, in whole or in part, without Digmi’s written consent.
17.2. Digmi is entitled to assign or pledge its rights and/or obligations under the Agreement, in whole or in part.
17.3. Notices under the Agreement shall be in writing.
17.4. Digmi is entitled to amend and supplement the General Terms. For such amendments or additions to take effect, Digmi must notify the Customer in writing twenty (20) days in advance. This may also be done by electronic notice. The new terms are binding on both Parties. Furthermore, the Customer’s use of new or changed services and products means that the Customer accepts any additional terms resulting from the changes.
18. DISPUTES AND GOVERNING LAW
18.1. The Agreement shall be governed by Swedish law.
18.2. Any dispute arising out of the Agreement shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (the “Institute”). The Institute’s Rules for Expedited Arbitrations shall apply unless the Institute, taking into account the complexity of the case, the amount in dispute and other circumstances, determines that the Institute’s Arbitration Rules shall apply to the proceedings. In that case, the Institute shall also decide whether the arbitral tribunal shall consist of one or three arbitrators. The seat of arbitration shall be Jönköping.
